Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Replies.live (the “Service”), operated by Stanislau Bublik trading as MONO Live (NIP 7272896439), with registered address al. 1 Maja 5/9a, 90-717 Łódź, Poland (“Replies.live”, “we”, “us”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of the service

Replies.live is a multi-tenant software-as-a-service platform that provides an AI-powered sales agent for messaging channels including Telegram, Instagram, WhatsApp, and Facebook Messenger. The Service helps businesses qualify leads, answer customer questions, and capture contact details through automated conversations, with optional human escalation.

2. Eligibility and account registration

The Service is intended for business use by individuals aged 18 or older who have the authority to bind their organisation to these Terms. You agree to provide accurate, current, and complete information during registration and to keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use.

3. Subscriptions, billing, and refunds

The Service is offered on a subscription basis at €99 per month, including 1,000 AI-generated messages. Usage above this allowance is billed at €0.05 per additional message and reported daily to our payment processor (Stripe). A 7-day free trial is available to new customers; you may cancel during the trial at no charge. Subscriptions renew automatically each month unless cancelled before the next billing date. All prices are exclusive of VAT and other applicable taxes, which will be added where required by law.

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; we do not provide pro-rated refunds for unused time. Refunds may be issued at our discretion in case of demonstrable service failures or duplicate charges.

4. Acceptable use

You agree not to use the Service to:

  • Send unsolicited bulk messages, spam, or content that violates anti-spam laws.
  • Harass, threaten, defraud, or impersonate any person or organisation.
  • Promote illegal goods or services, hate speech, sexual content involving minors, or content prohibited by the platforms we integrate with.
  • Circumvent rate limits, scrape data, or interfere with the integrity of the Service.
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service.
  • Use the Service to compete with Replies.live or build a substantially similar product.

We reserve the right to suspend or terminate accounts that violate this section, without notice and without refund.

5. Your content and customer data

You retain ownership of all content, messages, and customer data you submit to, or that flow through, the Service (“Customer Data”). You grant Replies.live a worldwide, non-exclusive, royalty-free licence to process Customer Data solely to provide and improve the Service, including transmitting messages to AI processors and connected messaging platforms.

You represent and warrant that you have all necessary rights, consents, and legal bases to share Customer Data with us and to allow the Service to communicate on your behalf with your customers. You are responsible for ensuring your customers are informed about the use of automated messaging where required by applicable law.

6. Third-party services and platform compliance

The Service integrates with third-party platforms, including Meta Platforms (Instagram, WhatsApp, Facebook Messenger), Telegram, Stripe, Anthropic, and OpenAI. Your use of these platforms through the Service is also subject to their respective terms of service and policies. In particular, when using our Instagram or Messenger integrations you agree to comply with the Meta Platform Terms and the Meta Community Standards. We may suspend or terminate access to specific integrations if required by the underlying platform.

7. Intellectual property

Replies.live, including its software, design, trademarks, and documentation, is owned by Stanislau Bublik (MONO Live) and protected by intellectual property laws. These Terms do not transfer to you any ownership of the Service. We grant you a limited, non-exclusive, non-transferable licence to use the Service for its intended business purpose during the term of your subscription.

8. Privacy and data protection

Our processing of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood the Privacy Policy. Where the processing of customer personal data on your behalf is required under the GDPR, a separate data processing agreement is available upon request.

9. Service availability

We strive to keep the Service available with high uptime but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, third-party outages, or events beyond our control. We are not liable for any losses resulting from downtime of the Service or any connected messaging platform.

10. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your account if you breach these Terms, fail to pay, violate the policies of connected platforms, or use the Service in a way that poses a security or legal risk. Upon termination, your right to use the Service ends immediately. Provisions intended to survive termination (including intellectual property, disclaimers, liability limits, and governing law) will continue to apply.

11. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. AI-generated responses may contain errors or be unsuitable for specific contexts; you are responsible for reviewing and supervising the Service’s output. We do not warrant that the Service will meet your requirements or be free of defects or interruptions.

12. Limitation of liability

To the maximum extent permitted by applicable law, Replies.live will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities arising out of or relating to your use of the Service. Our total aggregate liability for any claim arising out of or relating to these Terms will not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless Replies.live, its affiliates, and their respective officers and employees from any claim, demand, loss, or expense (including reasonable legal fees) arising out of your breach of these Terms, your violation of any law, or your infringement of any third party right, including the rights of your own customers.

14. Governing law and disputes

These Terms are governed by the laws of the Republic of Poland, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved amicably will be submitted to the exclusive jurisdiction of the courts competent for the registered seat of Replies.live in Łódź, Poland. If you are a consumer within the European Union, you retain the protection of any mandatory consumer-law provisions of your country of residence.

15. Changes to these Terms

We may update these Terms from time to time to reflect changes in the Service, our business, or applicable law. We will post the updated version on this page and update the “Last updated” date above. Material changes will be notified by email or in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
